GENERAL TERMS AND CONDITIONS OF SALE – METOP ENGINEERING SRL


1. Scope and Definitions

These General Terms and Conditions of Sale (GTCS) apply to all sales of products or services concluded by Metop Engineering SRL, including via the website (online sales), with or without on-site installation, and aimed at professional or consumer clients.

The GTCS in effect at the time of the order shall apply.

Unless otherwise specified, these conditions do not apply to sales made through third-party resellers.

Definitions:

  • Consumer: Any natural person making a purchase for non-professional purposes.
  • Professional: Any natural or legal person acting within the scope of their commercial, artisanal, liberal, or agricultural activity.
  • Client: Refers to both consumers and professionals.
  • Business day: All days of the week except Saturdays, Sundays, and legal public holidays.

2. Conclusion of the Contract

Offers made by Metop Engineering SRL, including on the Soliseco website, are non-binding.

The sale is concluded upon the client’s receipt of an order confirmation sent by email from Metop Engineering SRL, regardless of the method of ordering (website, phone, etc.). From that moment, the order becomes final and non-modifiable, unless otherwise agreed in writing.

Performance or energy-saving estimates provided are for informational purposes only and do not bind Metop Engineering SRL in any way.

3. Prices and Payment Terms

Prices displayed on the website or in the offer are expressed in euros, VAT included for consumers, VAT excluded for professionals.

Any delivery, installation, or commissioning fees are specified separately during the ordering process.

Payment is due within 14 days from the invoice date, unless otherwise agreed. Late payments may incur reminder fees.

In case of payment rejection (transfer, card, etc.), administrative fees may be charged unless the client proves they are not responsible.

4. Delivery, Installation, and Transfer of Ownership

a) Standard delivery

  • Delivery times are indicative.
  • Metop Engineering strives to meet a delivery time of 14 business days after order confirmation, unless in cases of force majeure.

b) Sale with installation

  • If installation is part of the offer, the intervention date will be arranged with the client after order confirmation.
  • The client agrees to provide access to the installation site on the agreed dates.
  • In case of absence or failure to notify at least 48 hours in advance, an additional visit may be invoiced.

c) Transfer of ownership

Products remain the property of Metop Engineering SRL until full payment is received. Risk transfer occurs:

  • Upon delivery, for consumers;
  • According to the specified Incoterms, for professionals.
    Metop Engineering SRL reserves the right to suspend server cloud connection in case of non-payment. Reactivating the connection will incur additional charges.

5. Withdrawal and Returns

a) Consumer clients (online sales only)

In accordance with Belgian and European legislation, the consumer has a right of withdrawal within 14 days from receipt of the products.

Returns are at the client’s expense, except in cases of defect or delivery error. Refunds are processed within 14 days after receipt of the returned goods in acceptable condition.

The right of withdrawal does not apply:

  • If the products have been installed, used, or cannot be restored to new condition;
  • For installation services already performed at the client’s request.

b) Professional clients

The right of withdrawal does not apply. Any return must be subject to prior written approval from Metop Engineering SRL. Return costs are the responsibility of the client.

6. Warranty

a) Consumer clients

  • Legal conformity warranty of 24 months.
  • The warranty does not cover damage resulting from misuse, incorrect installation, or unauthorized intervention.
  • Any deviation from Metop Engineering SRL's installation or usage instructions immediately voids the warranty.

b) Professional clients

  • Contractual warranty limited to 12 months, unless otherwise specified in the offer.
  • Any claim must be made within 24 hours of delivery, with supporting evidence.
  • Non-compliance with technical instructions or improper use renders any claim invalid and voids the warranty.

7. Liability

Metop Engineering cannot be held liable for indirect or intangible damages, including loss of revenue, resulting from the use of its products or services, except in cases of gross negligence or willful misconduct.

Soliseco disclaims all responsibility for direct or indirect damages to equipment powered, controlled, or used in conjunction with Metop Engineering SRL products, especially in cases of:

  • Improper use,
  • Incorrect installation,
  • System modification,
  • Lack of regular maintenance.

8. Disputes and Applicable Law

Disputes fall under the exclusive jurisdiction of the courts of Nivelles (Belgium). Belgian law applies, without prejudice to mandatory consumer protection provisions of the consumer’s country of residence if more favorable.

9. Changes to the General Terms

Metop Engineering SRL reserves the right to unilaterally modify these GTCS for legal, technical, or organizational reasons. The applicable version is the one in effect at the time of the order.

10. Server Access and Cloud Features

Metop Engineering SRL provides clients with access to cloud services related to the sold equipment, including server access and online functionalities (monitoring, remote control, software updates, etc.).

This access is offered free of charge for a minimum period of four (4) years from the product activation date. This free access does not constitute a commitment to indefinite service provision.

Metop Engineering SRL reserves the right to modify, upgrade, or discontinue these services after the free period, with prior notice to the client and, where applicable, the proposal of a commercial offer.

11. Recorded Data

Technical data generated by the equipment (performance, history, diagnostics, measurements) and transmitted to the Soliseco server is processed and stored by Soliseco, which remains the owner for maintenance, service improvement, and statistical analysis purposes.

Personal data possibly processed in this context remains the property of the client, in accordance with the General Data Protection Regulation (GDPR).

Soliseco acts as the data controller for personal data, in compliance with its privacy policy, available upon request or via the website.
